These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "User") and Laherika Pvt. Ltd. ("Laherika", "Company", "we", "us", or "our"), a company incorporated under the Companies Act, 2013, with its registered office in Kolkata, India, India.
These Terms govern your access to and use of this website at its current domain and any sub-domains (the "Site"). By accessing the Site — whether by clicking, browsing, or submitting information — you acknowledge that you have read, understood, and agree to be bound by these Terms. Under Section 10A of the Information Technology Act, 2000, contracts formed through electronic means are legally valid and enforceable in India; your acceptance by conduct (i.e., by using the Site) constitutes a binding agreement. If you do not agree, do not use the Site.
1. About this website and our company
This Site provides general information about Laherika and our healthcare data interoperability platform under development. It is an informational website only. It does not itself provide any healthcare service, clinical advice, diagnostic service, insurance service, or regulated financial service. Nothing on this Site constitutes medical, legal, financial, investment, or professional advice of any kind, and should not be relied upon as such.
Laherika Pvt. Ltd. is an Indian Private Limited company. It is currently an independent Indian entity. Any future relationship with a United States parent company, should one arise, will be disclosed in accordance with applicable law and will not affect the obligations set out in these Terms for your use of this Site.
2. Forward-looking and developmental content
Our platform is under active development. Descriptions of features, capabilities, standards alignment, planned functionalities, timelines, projections, and roadmap on this Site are provided for general informational purposes only and represent our current intentions as of the date of publication. They may describe features or integrations that are planned, in progress, or subject to change.
Such descriptions do not constitute:
- A warranty, representation, or guarantee of any kind;
- A binding offer, commitment, or contract; or
- A basis for any legal, commercial, financial, or investment decision.

- Collect, harvest, or scrape data from the Site by automated means, bots, or crawlers without our prior written consent;
- Submit false, misleading, or fraudulent information, or impersonate any person or entity;
- Use the contact form to transmit spam, phishing content, or material that is unlawful, defamatory, obscene, or abusive; or
- Use the Site in any way that could damage our reputation or the reputation of the Indian digital health ecosystem.
Any breach of this section may constitute a criminal offence under the IT Act, 2000 and the Bharatiya Nyaya Sanhita, 2023, and we reserve the right to report such breaches to the relevant law enforcement authorities and to CERT-In (Indian Computer Emergency Response Team) where applicable.
5. Intellectual property
All content on this Site — including text, graphics, brand elements, the "Laherika" name and logo, designs, layouts, and the underlying source code — is the intellectual property of or is licensed to Laherika Pvt. Ltd. and is protected by:
- The Copyright Act, 1957 (India), including the literary, artistic, and software copyrights subsisting therein;
- The Trade Marks Act, 1999 (India), in respect of our registered and unregistered marks; and
- Other applicable Indian and international intellectual property laws.
You may view, print, and share content from this Site for personal, non-commercial, informational purposes only, provided you retain all copyright and other proprietary notices. You may not copy, reproduce, modify, distribute, reverse-engineer, create derivative works from, publicly display, sell, or exploit any part of the Site's content or code without our prior written permission.
Any unauthorised use of our intellectual property may constitute an infringement giving rise to civil and criminal liability under Indian law.
6. Submissions and communications
When you submit information through the Site (for example, via the "Request a Demo" form), you confirm that:

To the extent that this Site operates as an intermediary as defined under the IT Act, 2000, we shall be entitled to the protections afforded by Section 79 of that Act in respect of third-party content, subject to our compliance with the obligations specified therein and the applicable rules made thereunder.

8. Disclaimers
The Site and all its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, the Company expressly disclaims all warranties, conditions, representations, and guarantees, whether express, implied, statutory, or otherwise, including (without limitation):
- Warranties of merchantability, satisfactory quality, fitness for a particular purpose, or non-infringement;
- Any warranty that the Site will be uninterrupted, error-free, secure, virus-free, or free of technically harmful components;

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Indian law, including liability for fraud, death, or personal injury caused by negligence.
9. Limitation of liability
To the fullest extent permitted by applicable Indian law, including the Indian Contract Act, 1872, the Company, its directors, employees, agents, and affiliates will not be liable for any:
- Indirect, incidental, special, consequential, punitive, or exemplary loss or damage;
- Loss of profits, revenue, business, anticipated savings, goodwill, or data; or
- Any loss arising from your reliance on information on this Site,
whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, even if we have been advised of the possibility of such loss.
Where liability cannot be excluded entirely, our total aggregate liability to you in connection with this Site and these Terms shall not exceed Indian Rupees One Thousand (₹1,000). This cap does not apply to liability that cannot be capped under applicable Indian law.
10. Indemnity
You agree to defend, indemnify, and hold harmless the Company and its directors, officers, employees, and agents from and against any claims, actions, proceedings, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of or inability to use the Site;
- Your breach of these Terms;
- Your violation of any law or regulation of India or any other jurisdiction; or
- Any false or misleading information you submit through the Site.
11. Force majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms or in maintaining the Site where such failure or delay results from any cause beyond our reasonable control, including acts of God, pandemic, epidemic, natural disaster, fire, flood, war, civil unrest, government action or restriction, power failure, internet or telecommunications failure, or failure of any third-party service provider.
12. Modifications and discontinuation
We may at any time and without notice modify, update, suspend, restrict access to, or permanently discontinue any part of the Site, or these Terms. When we modify these Terms, we will revise the "Last updated" date above. Your continued use of the Site after any modification takes effect constitutes your acceptance of the revised Terms. We recommend reviewing this page periodically.
13. Waiver
No failure or delay by the Company to exercise any right or remedy under these Terms shall operate as a waiver of that right or remedy. A waiver of any breach of these Terms shall not be deemed a waiver of any subsequent breach.
14. Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, unlawful, unenforceable, or contrary to any applicable law, that provision shall be deemed severed from these Terms. The remaining provisions shall continue in full force and effect to the fullest extent permitted by law.
15. Entire agreement
These Terms (together with our Privacy Policy, which is incorporated herein by reference) constitute the entire agreement between you and the Company in respect of your use of this Site and supersede all prior representations, arrangements, and understandings between us relating to such use. Nothing in this clause shall limit liability for fraudulent misrepresentation.
16. Governing law and jurisdiction
These Terms are governed by and shall be construed in accordance with the laws of the Republic of India, without regard to its conflict-of-law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or the use of this Site — including any question regarding its existence, validity, or termination — shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction in Kolkata, West Bengal, India. You agree to submit to the personal jurisdiction of such courts and waive any objection to proceedings in those courts on grounds of inconvenient forum.
Where a User is located outside India and accesses this Site in connection with potential commercial engagement with us, any separate commercial terms that may subsequently be agreed upon may specify a different dispute resolution mechanism, including arbitration under the Arbitration and Conciliation Act, 1996.
